Greetings,
State legislative volume has abated somewhat as bills languish in committee or become law. Federal activity, however, is as busy as I have ever seen it for corporate and business issues. Reported below are bills ranging from an exploration of a national sales tax to some of the more onerous provisions of the Sarbanes-Oxley Act to promote the competitiveness of U.S. business.
National security concerns also come into play with Senate Bill 569, which would require business entities to divulge the beneficial owners of an enterprise upon organization. This is aimed at preventing money laundering.
On the State level, both Maine and Utah passed legislation providing for Low-Profit Limited Liability Companies.

SB 334
An act relating to corporations sole; providing for the elimination of the formation of new corporations sole; and providing other matters properly relating thereto. Under existing law, a corporation sole may be formed for acquiring, holding or disposing of church or religious society property, for the benefit of religion, for works of charity and for public worship. Existing law provides the procedures for forming a corporation sole, the powers of a corporation sole and the process of default, reinstatement or revocation of a charter of a corporation sole. (Chapter 84 of NRS) This bill provides that no corporation sole may be formed on or after the effective date of this bill, and no corporation sole which had its charter revoked may be reinstated on or after the effective date of this bill. However, this bill does not affect the existence of a corporation sole formed before the effective date of this bill.

This bill amends the Corporate Franchise and Income Taxes chapter and the Individual Income Tax Act to address the income taxation of a pass-through entity and a taxpayer to whom income, gain, loss, deduction or credit of the pass-through entity is passed through. This bill: provides that corporate franchise and income taxes are imposed on an S corporation through the taxable year beginning on or after January 1, 2012, but beginning on or before December 31, 2012; requires the Revenue and Taxation Interim Committee to conduct a study and prescribes the scope of the study; repeals provisions governing the taxation of a limited liability company; addresses the income taxation of a taxpayer to whom income, gain, loss, deduction or credit of a pass-through entity is passed through; expands withholding requirements to provide that a pass-through entity, including a general partnership, limited partnership, limited liability partnership, limited liability company or an S corporation, is required to pay or withhold a tax on behalf of a resident or nonresident business entity or a nonresident individual; provides exceptions to the withholding requirements; provides withholding procedures; addresses return filing requirements for a pass-through entity or a taxpayer to whom income, gain, loss, deduction or credit of a pass-through entity is passed through; addresses the characterization of items of income, gain, loss, deduction or credit for purposes of state income taxation of a taxpayer to whom income, gain, loss, deduction or credit of a pass-through entity is passed through; addresses the determination of a taxpayer's share of certain additions to income, deductions from income, or adjustments to income required by state statute; addresses a refundable tax credit for a taxpayer to whom income, gain, loss, deduction or credit of a pass-through entity is passed through; and makes technical changes.

This bill proposes to provide an alternative to Vermont's traditional business corporate code, to be called the Catamount Corporate Code, which protects the rights of shareholders in publicly traded corporations and restricts the adoption of supermajority and poison pill provisions.

Virginia
HB 2445
Stock and nonstock corporations. Conforms provisions of the Stock and Nonstock Corporation Acts regarding names, mergers and terminations with similar provisions applicable to other business entity forms, and makes technical amendments. An uncodified provision enacted in 1946, that prohibits the use of the word "redevelopment" in a corporate name that is not organized as an urban redevelopment corporation is set out. Other provisions (i) allow the filing of a foreign instrument of entity conversion to be filed without payment of a qualified foreign corporation's annual registration fee on or before the due date, similar to the treatment afforded to a Virginia corporation that converts to a Virginia limited liability company; (ii) provide an exception to the requirement that a plan of merger, which is subject to an amendment, include certain provisions to protect shareholders when the plan of merger provides that the approval of all of the shareholders is required for the plan's amendment; (iii) require articles of merger to include a statement that the plan of merger was adopted by the directors if shareholder approval is not required and provide that the articles are to include the date the plan was adopted by the corporation, regardless of the method of adoption; (iv) relocate § 13.1-893.1 from Article 10 to Article 11 of the Nonstock Corporation Act; and (v) conform provisions of the Water and Waste Authorities Act to the corporate law provisions regarding the termination of corporate existence.

Limited liability partnerships; cancellation of status. Provides for the cancellation, rather than the revocation, of registered limited liability partnership status. The revision conforms these provisions to those applicable to other business entities. The measure also (i) provides for the automatic cancellation of status of a domestic or foreign partnership if its registered agent resigns and a replacement is not timely appointed; (ii) requires a written application for restoration of status as a registered limited liability partnership; and (iii) makes technical changes.
