Arizona
The Secretary of State now requires that signers of all Trade (Assumed) Name, LP and LLP filings submit a copy of proper identification as part of the filing. (This does not apply to documents filed with the Arizona Corporations Commission under the corporation and LLC laws.)


Arkansas
Senate Bill 302
Effective January 1, 2012, enacts the Revised Unincorporated Nonprofit Association Act, governing the formation and operation of unincorporated nonprofit associations, defined as unincorporated organizations consisting of two or more members joined under an agreement for one or more common, nonprofit purposes.

Assembly Bill 1211
Effective January 1, 2012, amends the Nonprofit Corporation Law regarding mergers, officers and directors, reports to members, dissolution and reports to the Attorney General.

Assembly Bill 657
Effective January 1, 2012, amends the Corporations Code regarding the manner in which corporations and LLCs may elect to receive Annual Report renewal notices.

Senate Bill 146
Effective January 1, 2012, authorizes the formation of professional clinical counselor corporations for the purposes of rendering professional services, subject to certain requirements.

Colorado
The Secretary of State’s office has lifted the temporary fee reduction for Foreign Entity Authority filings. Effective December 1, 2011, the fee for filing the Foreign Entity Authority documents returned to $125.



District of Columbia
Bill 18-532
As amended by Bill 19-203, applicable generally January 1, 2012, recodifies and reenacts all of the entity laws in a new Title 29 to the D.C. statutes, entitled the Business Organizations Code.

Mississippi
Senate Bill 2444
Effective January 1, 2012, amends the Nonprofit Corporation Law regarding certificates of existence, form and delivery of notice, contents of the articles of incorporation, member meetings and administrative dissolution.

New York
Senate Bill 2987
Effective January 1, 2012, permits the formation, under the Business Corporation Law, of design professional service corporations to render services including engineering, architecture, and land surveying.
